ByLaws of the Mid-Iowa Driving Association, Incorporated, organized 1985, and incorporated August 8, 1985.
Re-Incorporated February 9, 2006.

ARTICLE I
The name of this organization is THE MID-IOWA DRIVING ASSOCIATION, INCORPORATED.

ARTICLE II
The corporate seal shall be a design approved by the Board of Directors.

Amendment to Article II:
    It was proposed not to have a seal, November 24, 1985, Directors Meeting, per recommendation of our
Lawyer, John Paul, not to have a seal for convenience purposes.
    Reasons: Each letter sent should carry that seal.

ARTICLE III
This Association was formed with the following objects in mind.

a.    To promote fellowship amongst the members by having well planned meetings and driving demonstrations with informative programs related to animal drawn vehicles along with the science, art and customs of driving animals.

b.    To promote the collection and restoration of animal drawn equipment.

c.    To promote the usefulness and acknowledge the past importance of animals driven for work, pleasure and transportation for their contribution to our cultural, social and economic history.

d.    To recognize the publications and literature available on carriages and driving and contribute articles of interest for publication.

e.    To assist fellow members with information on where they can find items needed such as vehicles, equipment, supplies and repairs.

f.    To support and assist regional and National groups of like aim.

g.    To promote to the public the art of driving animals for work and pleasure by participation in the parades; exhibitions; shows; contest; and driving meets; displays; and performances.

h.    To accept contributions and dues in any form.

i.    To buy, lease, hold and exercise all privileges of ownership over such real or personal property as may be necessary for the conduct and operation of the business in this organization or incidental thereto.

.ARTICLE IV

1.    The governing body of the Association shall be vested in a Board of Directors, which shall consist of the President, Vice-President, Secretary/Treasurer, and three additional members called Directors.  All will be elected by the membership at the annual meetings, when their term of office expires.  Five members shall constitute a quorum.

Amendment to Article IV:  Number 1. of the Mid-Iowa Driving Association By-Laws, per recommendation of our Lawyer, John Paul in which thereof, generally, the Directors elect officers, which may be directors, but they are not one and the same.  Members elect directors and directors elect officers.  Amendment made November 24, 1985, Directors Meeting.

Amendment to Article IV: Number 1.  Four members shall constitute a quorum.  Amendment made January 13, 2002, Directors Meeting.

2.    At the Annual Meeting the members shall elect a President, Vice-President, Secretary/Treasurer, to serve for a term of one year.  Also the membership will elect for two-years terms, those director whose terms have expired.

Amendment to Article IV:  Number 2. of the Mid-Iowa Driving Association By-Laws, first part, per recommendation of our Lawyer, John Paul.  Members elect directors and directors elect officers.  Amendment made November 24, 1985, Directors Meeting.

By-Law Amendment Article IV:  Number 2.  The Board members will be elected for two year terms, three will be elected each year.

3.    The Board of Directors may declare vacant the office of any officer  or Director absent without excuse from three consecutive meetings of the Board, and may fill any vacancy.  A Director so elected shall hold office for the remainder of the terms of his predecessor.

    Amendment to Article IV:  Number 3 of the Mid-Iowa Driving Association By-Laws.  Proposal was made by Sandee McKee, January 18, 1986 that the By-Law be changed from “three consecutive meetings” to “two meetings in the Calendar year beginning at the November Membership meeting or any other vacancy such as resigning or expulsion.”

4.    The presence of (10) members entitled to vote in person or proxy shall be necessary to constitute a quorum at any meeting of the Association.

ARTICLE V

1.    The President or in his absence, the Vice-President, shall preside at each meeting of the Board and of the Association and perform all such duties as by law pertain to his office including the appointment of committees authorized by the Board of Directors or by the Association.

2.    The Secretary shall keep accurate minutes and records of all proceedings of the Board and of the Association, have custody of the seal, give notice of meetings, keep the roll of members and perform all the duties pertaining to the office.

3.    The Treasurer shall have custody of all the funds of the Association in such bank or other depository as the Board of Directors may from time to time designate, collect dues, make disbursements for the purpose of the Association, keep an accurate account and render an annual report on same, or when requested by the governing body.  He or she shall also process applications for new members in the manner prescribed by the Board of Directors.

ARTICLE VI

Membership

1.    The membership of the Association shall consist of such individuals, families, institutions and organizations as shall be accepted under procedures authorized by the Board of Directors.  Each institution or organization shall designate an individual member to exercise membership privileges.

    Family Membership:  The head of the family and his or her spouse or family members 18 years and over shall be considered members to exercise membership privileges.

2.    A member by vote of a majority of the Board of Directors may be expelled from the Association for conduct deemed by the Board to be prejudicial to the interest of the Association provided prior notice in writing of the charges and an opportunity to be heard thereon be given to such members.

3.    Annual dues for individual members, families, institutions and organizations are:
    Single Membership (18 and over) $5.00
    Family Membership $10.00
    Membership should be paid on or before the annual meeting and delinquent 60 days to be dropped from the Secretary’s rolls.  Upon recommendation of the Treasurer, the Board of Directors may terminate any membership for non-payment of dues.

Amendment to Article VI:  Number 3 of the Mid-Iowa Driving Association By-Laws.  As voted on by the membership at the Spring Membership Meeting, March 11, 1990, all annual dues for individual, family, institutional and organizational memberships will be $10.00.

4.    In addition to those attending the first meeting, all persons accepted for membership prior to the time application is made for incorporation shall be deemed to be charter members.

5.    The Association may join other organizations such as the American Driving Society and the Carriage Association of America if approved by the Board of Directors.

ARTICLE VII
Operational Limitation

    Notwithstanding any other provisions of these articles, the Corporation shall not carry on any other activities not permitted to be carried on by a corporation exempt from Federal Income Tax pursuant to the Internal Revenue Code.

ARTICLE VIII
Dissolution

Dissolution shall be pursuant to the Iowa Statutes.

ARTICLE IX
Amendments

    The Board of Directors by affirmative vote of a majority of the Board, may amend the By-Laws of the Association provided the members or Directors desiring an amendment shall give notice in writing go the Board at least ten (10) days prior to the meeting at which action is to be taken.
